ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On May 16, 2019, Harry Fleming resigned as an executive of Nobilis Health Corp. (the “Company”), effective immediately, and is no longer an employee of the Company. As a result, that certain Employment Agreement by and among Mr. Fleming, the Company, and Northstar Healthcare Acquisitions, LLC dated as of April 30, 2015, and any amendments thereto have terminated. Mr. Fleming will continue to serve as the Chairman of the Company’s Board of Directors.
