Item 2.02. Results of Operations and Financial Condition.

On August 8, 2019, Lilis Energy, Inc. (the “Company”) issued a press release announcing its operational and financial results for the second quarter ended June 30, 2019, and providing third quarter guidance. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K, which is incorporated by reference herein.

On August 8, 2019, the Company also provided information in a presentation on its website, www.lilisenergy.com, regarding its financial and operational results for the second quarter ended June 30, 2019. A copy of the presentation is furnished as Exhibit 99.2 to this Current Report on Form 8-K, which is incorporated by reference herein.

Item 7.01 Regulation FD Disclosure.

As described in Item 2.02, on August 8, 2019, the Company issued a press release announcing its operational and financial results for the second quarter ended June 30, 2019, and providing third quarter guidance. A conference call has been scheduled for Friday, August 9, 2019, at 11:00 AM Eastern Time, to review the Company’s financial results and provide an update on corporate developments. The information for accessing the conference call is included in the press release. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K, which is incorporated by reference herein.
