State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

The review of the information required to be presented in the Form 10-Q for the three- and nine-month periods ending September 30, 2019 could not be completed and filed by November 14, 2019 without unreasonable effort and expense to the Registrant. The Registrant needed more time this period for unanticipated additional accounting work and review, which delayed closing of the books for the quarter.  At the present time, the Registrant expects to file its Form 10-Q with the Securities and Exchange Commission (the “SEC”) on or before November 19, 2019, the fifth calendar day following the due date of the Form 10-Q.
