REGULATION FD DISCLOSURE

On July 28, 2020, DPW Holdings, Inc., a
Delaware corporation (the “Company”), issued a press release announcing that Gresham Worldwide, Inc. (“Gresham
Worldwide”), has received a $2.0 million purchase order from a leading defense and aerospace customer of its indirect
wholly owned subsidiary, Enertec Systems 2001, Ltd. Gresham Worldwide, formerly known as DPW Technologies Group, Inc., is a wholly
owned subsidiary of the Company.
A copy of the press release is furnished
herewith as Exhibit 99.1 and is incorporated by reference herein.
