Section 7 - Regulation FD

Item 7.01 Regulation FD Disclosure.

On April 9, 2020, the Registrant announced that due to the COVID-19 pandemic, the third-party facility that prints and mails the Registrant’s annual meeting proxy materials was forced to close. As a result, and pursuant to guidance of the staff of the Securities and Exchange Commission issued on April 7, 2020, the Registrant will rely on the “notice and access” provisions of Rule 14a-16 under the Securities Exchange Act of 1934, as amended, rather than delivering a full set of printed proxy materials to all shareholders. A statement of the Registrant announcing this change is furnished herewith as Exhibit 99.1 and has also been filed today as definitive additional soliciting material in accordance with the staff guidance.
