Castellum, Inc. (NYSE-American: CTM) announces its 2023 annual meeting of stockholders (“2023 Annual Meeting”) will be held on May 25, 2023, and that stockholders of record as of the close of business on March 31, 2023 will be entitled to notice of, and to vote at, the annual meeting and any adjournment or postponement thereof. The 2023 Annual Meeting will be in person and conducted virtually via live audit webcast.

Because Castellum did not hold a 2022 annual meeting of stockholders (the “2022 Annual Meeting”) and pursuant to the Company’s Amended and Restated Bylaws (the “Bylaws”), the Company has set a deadline of 5:00 p.m., eastern daylight time on March 30, 2023, for the receipt of any qualified stockholder proposal or qualified stockholder nominations.

In accordance with Rule 14a-8(e) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and the Company’s amended and restated bylaws (the “Bylaws”), the deadline for receipt of stockholder proposals or nominations for inclusion in the Company’s proxy statement for the 2023 Annual Meeting pursuant to Rule 14a-8 will be no later than 5:00 p.m., Eastern Daylight Time, on March 30, 2023, or the tenth (10th) day following this public announcement of the meeting date. Stockholder proposals must comply with all of the applicable requirements set forth in the rules and regulations of the Securities and Exchange Commission, including Rule 14a-8 under the Exchange Act and the Bylaws.
