Disclosure.

On December 13, 2022, the Board of Directors of Barnwell
Industries, Inc. declared a cash dividend of $0.015 per share of
common stock. The dividend will be paid on January 11, 2023
to the holders of record as of the close of business on December
27, 2022. The Company’s press release announcing the dividend is
attached as Exhibit 99.1 to this report and is incorporated herein
by reference.
