On
October 5, 2020, Colonel Jack H. Jacobs, a member of the Board of Directors of Ballantyne Strong, Inc. (the “Company”),
notified the Company of his intention to resign from the Company’s Board of Directors, effective immediately. Colonel Jacobs
served as Chairman of the Nominating and Corporate Governance Committee and was a member of the Audit Committee. Colonel Jacobs
did not advise the Company of any dispute or disagreement with the Company or the Company’s Board of Directors on any matter
relating to the operations, policies or practices of the Company.
