Regulation FD Disclosure.

On May 31, 2023, the Company announced an upcoming oral presentation by Ryo Otsuka, Ph.D., and poster presentation by Kohei Kinoshita, M.D., at the 2023 American Transplant Congress being held June 3, 2023 to June 7, 2023 (“ATC”). A copy of the press release which discusses this matter is furnished hereto as Exhibit 99.01, and incorporated herein by reference.

Item 8.01.

Other Events.

On May 31, 2023, the Company announced an upcoming oral presentation by Dr. Otsuka, and poster presentation by Dr. Kinoshita, at the ATC. Both presenters are faculty members at the Center for Transplantation Sciences, Massachusetts General Hospital, and collaborators of the Company. The research involves studies of the Company’s TNX-1500 (Fc-modified anti-CD40L monoclonal antibody) product candidate for the prevention of renal and cardiac allograft rejection. A copy of the presentation and poster will be made available on the Company’s website.
