Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 24, 2023, NIKE, Inc. (the “Company” or “NIKE”) announced certain senior leadership changes that affect three of the Company’s named executive officers. Effective as of June 1, 2023, Heidi O’Neill, currently NIKE’s President, Consumer and Marketplace, will become NIKE’s President, Consumer, Product & Brand, Andrew Campion will become NIKE’s Managing Director, Strategic Business Ventures and cease serving as Chief Operating Officer, and Matthew Friend, currently NIKE’s EVP & Chief Financial Officer, will assume expanded job responsibilities to include procurement, global places and services, and demand and supply management.
