As set forth in the Company’s Form 8-K filed with the Securities and Exchange Commission on March 24, 2023, effective March 23, 2023 (the “Closing Date”), we closed a share exchange pursuant to a Stock Exchange Agreement (the “Stock Exchange Agreement”), with AiS and the shareholders of AiS. As a result of the stated transaction, the Company now has operations and its results of operations will be substantially different from its prior results of operations. We are currently in the process of compiling the results of operations for the current quarter and as of the date of this filing, a reasonable estimate of such results can not be made.
