Item 2.02.

Results of Operations and Financial Condition.

On March 31, 2022, VAALCO Energy, Inc. (the “Company”) issued a press release announcing operational and selected preliminary unaudited financial results for the fourth quarter and full year of 2022 and guidance for the year of 2023 and announcing that the Company is unable to file its Annual Report on Form 10-K within the prescribed time period without unreasonable effort and expense. Management continues to work as expeditiously as possible to complete the Form 10-K and believes that it will be in a position to file the report with the Securities and Exchange Commission on Thursday, April 6, 2023. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
