Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On August 17, 2022, FedNat Holding Company (the “Company”) received written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) notifying the Company that, as a result of its delay in filing its Form 10-Q for the quarter ended June 30, 2022 (the “Form 10-Q”), it is no longer in compliance with Nasdaq Listing Rule 5250(c)(1). The Company has a period of 60 days from the Notice date to submit a plan to regain compliance with the Nasdaq Listing Rules. The Company has advised Nasdaq that it anticipates filing the Form 10-Q within such 60-day period.

On August 19, 2022, the Company issued a press release as required by the Nasdaq Listing Rules regarding receipt of the Notice. The press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
