Explanation of Responses:

In connection with termination of the March 2020 grantor retained annuity trust #1 (the "GRAT") on May 6, 2022, 1,900 shares of Class A Common Stock were distributed to the reporting person and continue to be reported in this Form 4 as directly owned, and the remaining 5,664 shares previously held by the GRAT were transferred to the Family GST Exempt Trust as the remainder beneficiary and continue to be reported in this Form 4 as indirectly owned.
