Explanatory Note

This Amendment No. 1 on Form 8-K/A (the “Amendment”) is being filed by Spectrum Pharmaceuticals, Inc. (the “Company”) to amend the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on May 5, 2022 (the “Original Report”), solely to supplement Item 5.02 of the Original Report to include additional disclosure regarding a board committee assignment. This Amendment does not otherwise amend, update or change any other disclosure contained in the Original Report.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported in the Original Report, on May 4, 2022, the Board of Directors (the “Board”) of the Company appointed Ms. Brittany K. Bradrick to serve as a member of the Board, effective immediately. On May 16, 2022, Ms. Bradrick was appointed Chairperson of the Audit Committee of the Board, effective as of May 25, 2022.
