On May 5, 2022, the Company held its 2022 Annual Meeting of Stockholders (“Annual Meeting”). The following are the matters voted upon at the Annual Meeting and the final results of the votes on such matters:

In accordance with Item 5.07(d) of Form 8-K, the Company now reports that, after considering the outcome of this advisory vote, the Board of Directors of the Company has determined that the Company will hold an advisory vote on executive compensation every year until the next advisory vote on frequency, which advisory vote on frequency will be held no later than the Company’s annual meeting of stockholders in 2028.
