Item 1.01 Entry into a Material Definitive Agreement

On May 3, 2022, Verde Bio Holdings, Inc. (the “Company”) announced that it had entered into an agreement to acquire certain mineral and royalty interests (“Acquisition”) with a private seller whereby the Company agreed to purchase various mineral and oil and gas royalty interests in exchange for $3,200,000 in cash, (“Purchase Price”). The acquisition is scheduled to close on or before May 25, 2022 with the effective date of the acquisitions May 1, 2022.

A form of the Purchase Agreement is filed as Exhibit 10.1to this Current Report on Form 8-K.
