Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 15, 2022, Robin E. Abrams resigned as executive chairperson of the board of directors (the “Board”) of vTv Therapeutics Inc. (the “Company”) to pursue other opportunities. Ms. Abrams will remain a member of the Board but will not stand for reelection at the Company’s 2022 annual meeting of stockholders. Ms. Abrams’ resignation and decision not to stand for reelection were not because of a disagreement on any matter relating to the Company’s operations, policies or practices.
