Item 5.02. Departure of Directors or Principal Officers; Appointment of Certain Officers

On March 28, 2022, Patricia Trompeter resigned as Chief Executive Officer and Bruce Bent, currently a Director of the registrant, was appointed as Chief Executive Officer of the registrant.

Other than as disclosed in the registrant’s SEC filing, there are no material arrangements to which Bruce Bent is a party. There is no family relationship between him and any other party connected to the registrant.
