Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangement of Certain Officers.

As previously reported, Mr. David Klanecky notified the Company on February 24, 2022 that he was leaving his role as Chief Operating Officer of Piedmont Lithium Inc. (the “Company”). On March 21, 2022, Mr. Klanecky and the Company entered into a Consulting Agreement pursuant to which he has agreed to act as a consultant to the Company through March 20, 2023. In connection with his performance of consulting services, Mr. Klanecky will be entitled to receive 5,000 restricted stock units vesting through March 15, 2023.
