Item 8.01 Other Events.

On December 14, 2021, Global Blood Therapeutics, Inc. (the “Company”) issued a press release announcing its proposed private offering of $250.0 million aggregate principal amount of convertible senior notes due 2028 pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.

On December 14, 2021, the Company issued a press release announcing that it had priced an upsized offering of $300.0 million aggregate principal amount of convertible senior notes due 2028. A copy of the press release is filed as Exhibit 99.2 hereto and is incorporated herein by reference.
