Item 1. Description of the Registrant’s Securities to be Registered.

The class of securities to be registered hereunder is the Common Stock, par value $0.001 (the “Common Stock”) of Tego Cyber Inc. For a description of the Common Stock, reference is made to the information under the heading “Description of Securities” contained in Registrant’s Registration Statement on Form S-1, filed with the U.S. Securities and Exchange Commission (File Number 333-248929) on September 21, 2020, which information is incorporated herein by reference. Any form of prospectus or prospectus supplement to the Registration Statement that includes such descriptions and that are subsequently filed are hereby also incorporated by reference herein.

Since the filing of the Registration Statement, the Registrant made all required filings pursuant to Section 15(d), and has continued to voluntarily file all reports.
