Item 7.01 Regulation FD Disclosure.

Share Repurchase Program

The Board of Directors of The Howard Hughes Corporation, a Delaware corporation (the “Company”), authorized a share repurchase program, pursuant to which the Company may, from time to time, purchase up to $250 million of its common stock through open market transactions. The date and time of such repurchases will depend upon market conditions. All repurchases will be made in compliance with, and at such times as permitted by, federal securities laws and may be suspended or discontinued at any time. The new program replaces the Company’s prior share repurchase program adopted in October 2019 pursuant to which the Company repurchased its common stock having an aggregate value of $53.9 million, under a repurchase authorization granted by the Board of Directors to acquire up to $100 million of its common stock.
