ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

As part of its ongoing director succession planning process, on October 21, 2021, the Board of Directors (the “Board”) of WEC Energy Group, Inc. (“WEC Energy”) increased the number of directors constituting the Board from 10 to 11 and elected Glen E. Tellock to fill the vacancy, effective January 1, 2022. He will also join the Audit and Oversight Committee of the Board at that time. Mr. Tellock is the retired President and Chief Executive Officer of Lakeside Foods Inc., a food processing company based in Wisconsin. Before joining Lakeside Foods, he served in a variety of leadership roles at The Manitowoc Company, Inc., including chairman, president and chief executive officer. The Manitowoc Company is a global manufacturer of engineered lifting solutions.

Mr. Tellock will be compensated according to WEC Energy’s standard compensation program for non-employee directors as described in WEC Energy’s Proxy Statement filed with the Securities and Exchange Commission on March 25, 2021.
