Departure of
Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory
Arrangements of Certain Officers.

On September 30, 2021, Community Bank of the Chesapeake
(the “Bank”), the wholly owned subsidiary of The Community Financial Corporation, extended the term of the consulting agreement
by and between the Bank and James F. Di Misa (“Agreement”) through December 31, 2021. In addition to extending the term of
the Agreement through December 31, 2021 (“extended term”), the Agreement was amended to reflect the payment arrangement during
the extended term, as well as requests for services following the expiration of the extended term. The foregoing description of the amendment
is a summary and it is qualified in its entirety by the amendment to the consulting agreement filed as Exhibit 10.1 hereto which is incorporated
herein by reference.
