Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 23, 2021, Lithia Motors, Inc. (the “Company”) made the following announcements with respect to the leadership of its Marketing Department:

Marguerite Celeste has been appointed to serve as the Company’s Senior Vice President and Chief Marketing Officer starting July 23, 2021. Ms. Celeste previously held various roles at NBC Universal, DreamWorks Animation, and The Walt Disney Company, and served as Director of Creative Services at the Company from 2011 to 2013.

Tom Dobry, the Company’s Senior Vice President and Chief Marketing Officer will transition to Vice President of Advertising. In connection with his appointment, Mr. Dobry will no longer serve as Senior Vice President and Chief Marketing Officer.

Ms. Celeste and Mr. Dobry will assume their new roles on July 23, 2021.
