(1) This Registration Statement covers 300,000 shares of the Registrant’s common stock that may be offered or sold from time to time pursuant to the Registrant’s 2018 Incentive Compensation Plan. This Registration Statement shall also cover any additional shares of common stock that become issuable under the Plan or by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without the receipt of consideration which results in an increase in the number of outstanding shares of the Registrant’s common stock.
   
(2) Estimated solely for the purpose of calculating the registration fee in accordance with Rule 457(c) and 457(h) of the Securities Act of 1933, as amended. EXPLANATORY NOTE

 

IMAC Holdings, Inc. (the “Registrant”) adopted its 2018 Incentive Compensation Plan in May 2018. The maximum number of shares of common stock of the Registrant that are available for issuance under the 2018 Incentive Compensation Plan is 1,000,000 shares. This Registration Statement on Form S-8 is being filed with the Securities and Exchange Commission for the purpose of registering 300,000 shares of the Registrant’s common stock that may be issued under its 2018 Incentive Compensation Plan.

We have agreed to indemnify each of our directors and certain officers against certain liabilities, including liabilities under the Securities Act of 1933. Insofar as indemnification for liabilities arising under the Securities Act of 1933 may be permitted to our directors, officers and controlling persons pursuant to the provisions described above, or otherwise, we have been advised that in the opinion of the SEC such indemnification is against public policy as expressed in the Securities Act of 1933 and is, therefore, unenforceable.
