Item 7.01. Regulation FD Disclosure.

On July 2, 2021, Overseas Shipholding Group, Inc. (the “Company”) issued a press release announcing that, following the Company’s receipt of a non-binding indication of interest, subject to certain conditions, to acquire all of the issued and outstanding shares of common stock of the Company for a price of $3.00 per share, the Company has commenced a process to explore strategic alternatives. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 7.01.
