Explanation of Responses:

(1)

Grant of restricted shares pursuant to the Company's Non-Employee Director Compensation Policy under the 2012 Long-Term Incentive Plan. These restricted shares will vest one-fourth on each of the regularly scheduled quarterly board meetings to review the financial statements for the quarters ending June 30, September 30 and December 31, 2021 and the remainder of which shall vest on the date of the 2022 annual meeting.
