Legacy Tech Partners, LLC is the owner of a Senior Secured Convertible Debenture (the "Debenture") issued by Legacy Education Alliance, Inc. (the "Issuer"). The Debenture is due on the earlier of the occurrence of certain liquidity events with respect to the Issuer and March 8, 2022. The Debenture is convertible into up to 19.99% of the outstanding shares of common stock of the Issuer. As of the date of this Form 4, the remaining principal amount of the Debenture is $45,000.
