Item
5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements
of Certain Officers.
On
May 6, 2021, Tyler B. Wilson, the Company’s Vice President, Secretary and General Counsel, notified Taronis Fuels, Inc.
(the “Company”) of the termination of his employment from the Company, effective immediately.
As
previously disclosed, on April 10, 2021, the Company’s Board of Directors suspended Mr. Wilson from his positions with the
Company pending an investigation to be led by the Company’s Nominating and Corporate Governance Committee. Mr. Wilson has
asserted that he had “good reason” for terminating his employment under the Company’s Executive Severance Plan
(the “Plan”). The Company believes that Mr. Wilson’s assertion is without merit and intends to treat Mr. Wilson’s
resignation as without “good reason” under the Plan.
