Item 7.01.

Regulation FD Disclosure.

On March 3, 2021, Ruth Porat, Chief Financial Officer of Alphabet Inc. (“Alphabet”) and Google, participated in the Morgan Stanley Technology, Media and Telecom Conference and made an inadvertent misstatement when she stated, “When we look at retail searches, they were 3 times higher than they were, same time last year.” She meant to state, as was previously shared on Alphabet’s Q4 2020 earnings call, that the year-over-year growth rate in retail searches in the fourth quarter of 2020 was more than 3 times the rate as compared against the same period the prior year.
