Each performance share is the economic equivalent of one share of JKHY common stock. The reporting person has elected to defer receipt of 2,076 shares of common stock underlying vested performance shares pursuant to the Issuer's Deferred Compensation Plan. These vested performance shares become payable, in cash or common stock of the Issuer, at the Issuer's option, upon the reporting person's termination of service with the Company pursuant to the reporting person's deferral elections.
