Item 8.01.

Other Events.

On September 15, 2020, Park Hotels & Resorts Inc. issued a press release announcing the pricing of the offering of $725 million aggregate principal amount of 5.875% senior secured notes due 2028. The offering has been upsized from the previously announced amount of $650 million. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K.
