Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 8, 2020, the Board of Directors of Prudential Financial, Inc. (the “Company”) approved amendments to the Company’s Amended and Restated By-Laws, effective immediately. The amendments permit and facilitate shareholder meetings in part or solely by means of remote communication and provide that the Company may postpone, reschedule, or cancel any annual or special meeting of shareholders previously scheduled by the Board of Directors.

The foregoing description of the Company’s Amended and Restated By-Laws is qualified in all respects by reference to the text of the Amended and Restated By-Laws, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and incorporated herein by reference.
