Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 2, 2020, Harsha Mokkarala, Chief Revenue Officer of 2U, Inc. (the “Company”) and the Company agreed that Mr. Mokkarala would transition to Chief Data Scientist of the Company, effective September 8, 2020.
