Issued to the Reporting Person in consideration for consulting services agreed to be rendered pursuant to the terms of an Advisory Agreement. The shares are restricted and subject to forfeiture, and vest 100% on the six-month anniversary of the grant date, subject to the Reporting Person's continued service with the Issuer.
