3.01 Notification of Failure to Satisfy a Continued Listing Rule or Standard the Company received notice from the Capital Market
that it has failed to maintain a minimum bid price of at least $1.00 per share for the last 30 consecutive trading days based
upon the closing bid price for its common stock as required by Rule 5550(a)(2).
On
July 24, 2020, ToughBuilt Industries, Inc. (the “Company”) received notice from the Nasdaq Stock Market LLC indicating
that that it has failed to maintain a minimum bid price of at least $1.00 per share for the last 30 consecutive trading days based
upon the closing bid price for its common stock as required by Rule 5550(a)(2).
Pursuant
to Nasdaq Listing Rule 5810(c)(3)(A), the Company has been granted a 180-calendar day period, or until January 20, 2021, to regain
compliance with the minimum bid price requirement. During the compliance period, the Company’s common stock will continue
to be listed and traded on the Nasdaq Stock Market. To regain compliance, the closing bid price of the Company’s common
stock must meet or exceed $1.00 per share for at least 10 (and possibly as long as 20, at Nasdaq’s discretion) consecutive
business days.
