The Registrant requires additional time to file its Form 10-K in light of delays caused by the COVID-19 pandemic. This includes the time required for the Registrant’s securities legal counsel to complete work related to the Form 10-K. Additionally, the COVID-19 pandemic has caused the Registrant to be delayed in obtaining funding required for its operations including payment to the Registrants independent registered public accounting firm for services related to the Form 10-K. The Registrant has a good faith basis that it will have the required funds and the securities legal counsel will complete work related to the Form 10-K on or before August 10, 2020.
