Explanation of Responses:
(1)	This acquisition represents a transfer of shares to Reporting Person and Spouse (joint tenants with right of survivorship) held by Reporting Person's mother's trust agreement and payable upon death to beneficiaries including Reporting Person.
(2)	No money was paid by the shareholders for the Acquired shares. The shares were acquired as result of a transfer of shares to joint names of Reporting Person and Spouse (joint with right of survivorship) from Reporting Person's mother's trust, upon her death.
(3)	Transfer of shares held by Reporting Person's mother's trust and payable upon death to beneficiaries including Reporting Person. Shares of trust distributed pursuant to trust agreement.
(4)	No money was received by the shareholder for the Disposed shares. The shares were disposed of as result of a transfer of shares from Reporting Person's mother's trust, upon her death, pursuant to the trust agreement.
