Item 5.02(b). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 16, 2020, Darren R. Jackson, a member of the Board of Directors of Fastenal Company (the “Company”), informed the Company that he has decided not to stand for re-election as a director of the Company at the Company’s next annual meeting of shareholders to be held on April 25, 2020. Mr. Jackson’s decision not to stand for re-election was not the result of any disagreements with the Company on matters related to its operations, policies or practices. Mr. Jackson has served on the Board of Directors of the Company since July 2012. The Board of Directors thanked Mr. Jackson for his years of dedicated service to the Board of Directors of the Company and wishes him all the best in his future endeavors.
