Explanation of Responses:
(1)	Represents shares of common stock sold to cover the tax liability of the Reporting Person incurred upon the vesting of shares of restricted stock awarded for his service as a director of The Dow Chemical Company (TDCC) and then DowDuPont Inc. (DWDP) in connection with the separation of the Issuer from DWDP.
(2)	The price is a weighted average sale price. These shares were sold in multiple transactions at prices ranging from $53.26 to $54.205. Reporting Person agrees to provide upon request by the Commission staff, the issuer, or a security holder of the issuer, full information regarding the number of shares sold at each separate price.
