Item 2.02 Results of Operations and Financial Condition.

On November 14, 2019, IMAC Holdings, Inc., a Delaware corporation (the “Company”), issued a press release announcing its financial results for the quarter ended September 30, 2019 (the “Q3 Press Release”). A copy of theQ3 Press Release is furnished as Exhibit 99.1 to this Current Report on 8-K.

Item 8.01 Other Events.

On November 12, 2019, the Company issued a press release announcing the Company’s entry into an agreement for the sale of its BioFirma LLC subsidiary to Self Care Regeneration LLC for proceeds to the Company of $320,800, plus reimbursement of certain expenses at closing. A copy of the press release is attached hereto as Exhibit 99.2 and incorporated herein by reference.
