Item 3.01        Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 2, 2019, Jason Industries, Inc. (the “Company”) received a letter from The Nasdaq Stock Market (“Nasdaq”) notifying the Company that for the past 30 consecutive business days prior to the date of the letter, the market value of the Company’s listed securities was less than $35 million, which does not meet the requirement for continued listing on The Nasdaq Capital Market, as required by Nasdaq Listing Rule 5550(b)(2) (the “MVLS Rule”). In accordance with Nasdaq Listing Rule 5810(c)(3)(C), Nasdaq has provided the Company with 180 calendar days, or until December 30, 2019, to regain compliance with the MVLS Rule. If the Company regains compliance with the MVLS Rule, Nasdaq will provide written confirmation to the Company and close the matter.

This notification has no immediate effect on the Company’s listing on the Nasdaq Capital Market or on the trading of the Company’s common stock.

To regain compliance with the MVLS Rule, the market value of the Company’s listed securities must meet or exceed $35 million for a minimum of ten consecutive business days during the 180 day grace period. The Company could also regain compliance with Nasdaq’s alternative continued listing requirements by having stockholders’ equity of $2.5 million or more, or net income from continuing operations of $500,000 in the most recently completed fiscal year.

The Company is presently evaluating possible courses of action to regain compliance with the MVLS Rule. If the Company does not regain compliance with the MVLS Rule or the Company cannot demonstrate compliance with an alternative continued listing standard by December 30, 2019, Nasdaq could provide written notice that the Company’s common stock is subject to delisting from The Nasdaq Capital Market. In that event, Nasdaq rules permit the Company to appeal such determination to a Nasdaq hearings panel.

This information is being provided to comply with Nasdaq Listing Rules requiring public announcement of the Company’s receipt of the letter from Nasdaq.
