Item 2 .02 Results of Operations and Financial Condition.

On May 22, 2019, Organovo Holdings, Inc. (the “Company”) issued a press release announcing its preliminary financial results for its fiscal fourth quarter ended March 31, 2019 and for the fiscal year ended March 31, 2019. A copy of the Company’s press release is attached as Exhibit 99.1 to this report and incorporated by reference.
