Item 8.01. OTHER EVENTS.

As previously announced, Hill-Rom, Inc., a wholly-owned subsidiary of Hill-Rom Holdings, Inc. (the “Company”), entered into a definitive agreement to acquire Voalte, Inc. for cash consideration of $180 million and up to an additional $15 million in payments related to the achievement of certain commercial milestones (the “Voalte Acquisition”).

On April 1, 2019, the Company announced that it had completed the Voalte Acquisition.
