State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q, N-SAR or the transition report portion thereof could not be filed within the prescribed time period.

 

During the fourth quarter of 2018, the Company changed its business. The Company discontinued its restaurant business and is now engaged in marketing a medical diagnostic device, the PC8B. The former restaurant business is treated as a discontinued operation. Because of the change in business and accounting questions relating to the change in business, the compilation, dissemination and review of the information required to be presented in the Form 10-K for the year ended December 31, 2018, the Company requires additional time to gather information relating to the classification of certain liabilities. The Company intends to file the Form 10-K for the year ended December 31, 2018 no later than 15 days after its original filing date.

Because of the change in business, the results of operations of the restaurant business are reflected as a loss from discontinued operations. Based on preliminary financial information, for 2018, the Company expects to report revenue of $70,000, no gross profit, a net loss from continuing operations of approximately $6.8 million, a net loss from discontinued operations of approximately $1.1 million and a net loss of approximately $7.9 million. For 2017, the Company expects to report no revenue, a net loss from continuing operations of approximately $445,000 and a net loss from discontinued operations of approximately $1.1 million.

 

The financial results presented above reflect preliminary estimates of the Company’s results of operations and as of the date of the filing of the Form 12b-25. These estimates are subject to change upon the completion of the reporting process and review of the Company’s financial statements, and actual results may vary significantly from these estimates.
