(1)  This amended Form 4 is being filed to correct the date the Restricted Stock Units were granted and become exercisable, which were previously reported incorrectly. As of November 20, 2017, the reporting person was granted 6,009 Restricted Stock Units, which all vest on the third anniversary of the date granted.
(2)  Each restricted stock unit represents a contingent right to receive one share of Macy's, Inc. common stock.
(3)  The restricted stock units all vest on the third anniversary of the date granted.
