Explanatory Note

EVO Transportation & Energy Services, Inc. (the “Company”) previously filed a Current Report on Form 8-K on February 7, 2019 (the “Original Form 8-K”) reporting its acquisition of Ursa Major Corporation, a Wisconsin corporation (“Ursa Major”) and J.B. Lease Corporation, a Wisconsin corporation (“J.B. Lease”). This Amended Current Report on Form 8-K/A is being filed for the purpose of complying with the provisions of Rule 3-05 of Regulation S-X. As such, this Amended Current Report on Form 8-K/A provides the financial information related to the Company’s acquisition of Thunder Ridge as required by Item 9.01 of Form 8-K.
