Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 2, 2019, Joseph Wai Leung Wong resigned as a director of Borqs Technologies, Inc. (the “Company”) due to personal health concerns. There were no disagreements between the Company and Mr. Wong on any matters relating to the Company’s operations, policies or practices. The Company is in the process of selecting candidates to fill the vacancy created by Mr. Wong’s departure.
